Definitions

AA Master Directions — Master Direction – Non-Banking Financial Company – Account Aggregator (Reserve Bank) Directions, 2016, as amended from time to time.

Applicable Law — Any statute, law, regulation, ordinance, rule, judgment, notification, order, decree, or government approval having the force of law by any regulatory authority.

Financial Information — As defined in the AA Master Directions.

Financial Information Provider (FIP) — As defined in the AA Master Directions.

Financial Information User (FIU) — As defined in the AA Master Directions.

Financial Sector Regulator — As defined in the AA Master Directions.

Scope of Services

Through our Platform, you may retrieve, view, consolidate, and share Financial Information available with Financial Information Providers; and present your Financial Information to Financial Information Users.

By using the Services, you authorise and appoint us as your agent with limited power to access, fetch, or retrieve your Financial Information from FIPs — with your explicit consent.

We presently do not charge fees for use of the Services. However, we reserve the right to charge fees in the future, with prior written notice.

Eligibility

Use of the Platform is available only to individuals and organisations who can form legally binding contracts under Applicable Law in their respective jurisdictions.

If you are a minor (under 18 years), you shall not register as a user or use the Platform. The Company reserves the right to terminate membership and refuse access if a user is found to be under the age of 18.

Profile Creation

To avail the Services, you must create a profile ("Profile") on the Platform, providing details including phone number and personal information.

You are solely responsible for maintaining the security and confidentiality of your username and password and must immediately notify us of any unauthorised use of your Profile or breach of security.

You expressly agree to be liable for all activities conducted through your Profile. We shall not be responsible for any unauthorised access to your Profile.

Know Your Customer (KYC)

We may require you to upload KYC Documents to ascertain your eligibility to use certain features. You authorise us and any engaged third-party service providers to process your KYC Documents.

You warrant that all KYC Documents provided are true, complete, and up-to-date. False or misleading information constitutes a material breach of these Terms.

Our Obligations

We shall provide the Services on the basis of your explicit consent. We do not store any Financial Information that relates to you. Specifically:

• We shall not use the services of a third-party service provider for undertaking account aggregation.
• We shall not access your user authentication credentials relating to accounts with various FIPs.
• We shall share information with the FIU only as authorised by you in accordance with your consent.
• We shall not use or access your Financial Information other than for performing Services as explicitly requested.
• We shall ensure appropriate mechanisms for proper customer identification.

Consent Artefact & Use of Information

We do not retrieve, share, or transfer your Financial Information without your explicit consent. At the time of consent, you choose:

• The Financial Information to be shared with the FIU.
• The period for which it is shared.
• The purpose for which it is shared.

The consent artefact includes your identity and contact information, the nature of information requested, purpose, identity of recipients, consent dates, and your digital signature.

You may, at any point, access a record of all consents provided and the FIUs with whom your information has been shared, on the Platform.

Your Responsibilities

You represent and warrant that all information provided through the Services is complete, true, and correct, and shall remain so while you avail the Services.

You shall not use the Services to:

• Transmit viruses, malware, or any harmful programmes.
• Use automated devices to monitor or copy the Platform.
• Engage in systematic retrieval of content to create a database or directory.
• Use the Services in any unlawful or fraudulent manner.
• Violate Applicable Law in any manner.

You shall not attempt to gain unauthorised access to any portion of the Platform, other systems, or servers through hacking or any illegitimate means.

Intellectual Property

All rights, title, and interest in and to the Platform and Services, including all intellectual property rights, are owned by or licensed to us. We grant you a non-exclusive, non-transferable, revocable, and limited licence to use the Platform in accordance with these Terms.

No materials may be modified, copied, reproduced, distributed, downloaded, sold, or transmitted in any form without our prior express written permission.

Term & Termination

These Terms remain in effect unless terminated. We may terminate your access immediately and at our sole discretion if you violate any obligation under these Terms, or when you cease to use our Services.

Upon termination: your Profile will expire; you will no longer have access to the Services; and these Terms shall terminate, except for clauses intended to survive termination.

Disclaimers & Warranties

The Platform and Services are provided on an "as is" basis without warranty of any kind — express, implied, statutory, or otherwise. We do not warrant that the Services will meet your requirements or be uninterrupted, timely, secure, or error-free.

Financial Information obtained from FIPs may be based on delayed feeds and may not reflect real-time data. The Company shall not be responsible for any errors, delays, or actions taken by users in reliance on such information.

You accept full responsibility for any consequences arising from your use of the Services.

Indemnity

You agree to indemnify, defend, and hold us, our parent company, subsidiaries, affiliates, officers, employees, directors, agents, and representatives harmless from and against any claim, demand, losses, liabilities, damages, and costs due to or arising out of your access to or use of the Services, violation of these Terms, or any infringement by a third party using your Profile.

Jurisdiction & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. All claims and disputes arising under or in connection with the Platform and these Terms shall be subject to the exclusive jurisdiction of the courts at Bengaluru.

Any disputes shall be resolved by arbitration in Bengaluru in accordance with the Arbitration and Conciliation Act, 1996. The tribunal shall consist of 1 (one) arbitrator appointed by us. The language of arbitration shall be English. The decision of the arbitrator shall be final and binding.

Limitation of Liability & Miscellaneous

Limitation of Liability: In no event shall the Company be liable for any special, incidental, punitive, indirect, or consequential damages. The Company's maximum aggregate liability shall not exceed the payment made by you to the Company.

Entire Agreement: These Terms represent the complete understanding between you and the Company regarding the Services.

Severability: If any provision is found void or unenforceable, it shall be severed and shall not affect the remainder of these Terms.

Assignment: You shall not transfer your rights under these Terms without our prior written consent. We may assign our rights to affiliates or successors without prior notice.

Force Majeure: We shall have no liability if prevented from performing obligations due to events beyond our reasonable control, including strikes, utility failures, acts of God, or war.
